Terms of Service

By accessing, using, or subscribing to Authio's services, websites, applications, APIs, or software (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS OR USE THE SERVICES.

For purposes of these Terms: • "Authio Technology" means our proprietary AI audio detection system, including without limitation the patented Residual Vector Quantization (RVQ) artifact detection method described in Patent FR2506835, all neural network models, algorithms, machine learning systems, training data, weights, architectures, and any related intellectual property. • "API" means our application programming interfaces, including all associated tools, elements, components, and executables. • "Output" means any results, data, or content generated by the Services in response to your inputs. • "Your Content" means any audio files, data, or other materials you submit to the Services.

ALL RIGHTS, TITLE, AND INTEREST IN AND TO THE SERVICES, INCLUDING WITHOUT LIMITATION THE AUTHIO TECHNOLOGY, ARE AND SHALL REMAIN THE EXCLUSIVE PROPERTY OF FORWARD DIGITAL SAS AND ITS LICENSORS. The Services are protected under Patent FR2506835 filed with INPI. The Services contain proprietary and confidential information including: • Twelve (12) specialized neural network models • Proprietary RVQ artifact detection algorithms • Machine learning architectures and training methodologies • Audio analysis techniques and methodologies We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal business purposes.

YOU SHALL NOT, AND SHALL NOT PERMIT ANY THIRD PARTY TO: • Reverse engineer, disassemble, decompile, decode, adapt, or otherwise attempt to derive or gain access to any software component of the Services, including without limitation any AI models, algorithms, or training data • Engage in model extraction, model stealing attacks, or any systematic analysis designed to extract, replicate, or approximate the functionality of our AI systems • Use the Services or Output to develop, train, fine-tune, or improve any artificial intelligence, machine learning models, or audio detection systems that compete with Authio • Copy, modify, reproduce, distribute, or create derivative works based on the Services • Remove, circumvent, disable, damage, or interfere with any security features of the Services

Access to our APIs requires valid authentication credentials. You are responsible for maintaining the confidentiality of your API keys and for all activities that occur using your credentials. You agree to comply with all rate limits and usage quotas. Exceeding these limits may result in temporary or permanent suspension of access. You shall not: • Cache or store API responses beyond the permitted retention period • Aggregate data from the API for competitive analysis • Use the API to create a service that replicates Authio's functionality • Implement any workarounds to exceed rate limits

We process Your Content solely to provide the Services. We do not use Your Content to train or improve our models without your explicit consent. We retain Your Content for no longer than necessary to provide the Services, typically 30 days, unless otherwise required by law. You acknowledge that no internet transmission is completely secure. While we implement industry-standard security measures, we cannot guarantee absolute security.

You agree to pay all fees associated with your subscription plan. Fees are non-refundable except as required by law. You are responsible for all taxes associated with your use of the Services, excluding taxes based on our net income. We may suspend or terminate your access to the Services for non-payment.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORWARD DIGITAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT WARRANT ANY SPECIFIC DETECTION ACCURACY RATE.

YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS FORWARD DIGITAL, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, OBLIGATIONS, LOSSES, LIABILITIES, COSTS, AND EXPENSES (INCLUDING ATTORNEY'S FEES) ARISING FROM: • Your violation of these Terms • Your violation of any third party rights, including intellectual property rights • Your use of the Services in violation of applicable laws • Your Content or any materials you submit to the Services • Any breach of your representations and warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FORWARD DIGITAL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICES. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF €100 OR THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You may terminate your account at any time through your account settings. We may suspend or terminate your access immediately if: • You breach any provision of these Terms • You breach our Acceptable Use Policy • We are required to do so by law • We discontinue the Services • Your conduct poses a security risk or legal liability Upon termination: • Your right to use the Services immediately ceases • You must destroy all Confidential Information in your possession • You must cease all use of our APIs and delete any cached data • All provisions that should survive termination shall continue in effect

These Terms are governed by the laws of France, without regard to conflict of law principles. For users located in the European Union, European Economic Area, or Switzerland: any disputes shall be resolved in the courts of Paris, France. For all other users: any disputes shall be subject to binding arbitration as set forth in Section 14.

YOU AND FORWARD DIGITAL AGREE THAT ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION, EXCEPT AS OTHERWISE PROVIDED HEREIN. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION. Arbitration shall be conducted by the International Chamber of Commerce (ICC) under its rules. The arbitration shall be conducted in English and held in Paris, France, or via video conference. This arbitration agreement does not apply to claims for injunctive relief for intellectual property violations, which may be brought in any court of competent jurisdiction.

Any attempt to violate our intellectual property rights, including but not limited to reverse engineering, model extraction, or unauthorized replication of the Authio Technology, will result in: • Immediate termination of all Services • Legal action for damages • Injunctive relief • Recovery of attorney's fees and costs We reserve the right to audit your use of the Services to ensure compliance with these Terms.

Output from our Services may not be used to train, develop, or improve any artificial intelligence or machine learning systems designed for audio generation or detection. Detection results are provided for informational purposes. You are solely responsible for any decisions made based on these results. While our technology achieves high accuracy rates, we do not guarantee 100% detection accuracy and shall not be liable for any false positives or false negatives.
